1. Agreement

These Terms of Service (“Terms”) govern your access to and use of OfferU’s website, applications, and related services at mycollegeoffer.com (the “Services”). By creating an account, clicking to accept, or using the Services, you agree to these Terms.

2. Eligibility

You must be able to form a binding contract in your jurisdiction to use the Services. If you use the Services on behalf of a team, school, or organization, you represent that you have authority to bind that entity to these Terms.

3. Accounts

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. Acceptable use

You agree not to:

  • Use the Services in violation of law or NCAA/NAIA/NJCAA rules applicable to your situation;
  • Harass, threaten, or spam college coaches or other users;
  • Attempt to gain unauthorized access to systems, data, or accounts;
  • Reverse engineer or scrape the Services except as permitted by law;
  • Upload malware or interfere with the integrity or performance of the Services.

5. User content

You retain rights to content you submit. You grant OfferU a non-exclusive license to host, process, and display your content solely to provide and improve the Services. You represent that you have the rights needed to submit your content.

6. Third-party services

The Services may integrate with third-party providers (for example, authentication or email). Your use of those services may be subject to separate terms from the provider.

7. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFERU DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OFFERU DOES NOT GUARANTEE ANY SPECIFIC RECRUITING OUTCOME.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OFFERU AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO OFFERU FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

9. Indemnity

You will defend and indemnify OfferU against any claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Services, your content, or your violation of these Terms.

10. Termination

We may suspend or terminate access to the Services if you violate these Terms or if necessary to protect users or the Services. You may stop using the Services at any time.

11. Changes

We may modify these Terms from time to time. If changes are material, we will provide reasonable notice where required by law. Continued use after changes become effective constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law principles, unless a different governing law applies by mandatory statute.
